[Course topic: Contract Law](https://unireadinglist.com/subjects/law/#course-contract-law)

Sources checked: 2026-11-04

Study route and exercise: University Reading List editorial project.

For a first contracts course after learning how to read a judgment. The exercises use fictional transactions and a complete invented rule packet. They teach conditional reasoning and arithmetic, not the current law of any jurisdiction, transaction advice or a prediction of a court decision. A 2020 or 2024 book is not evidence that later law has been checked.

## Choose your starting point

- [ ] I need a free reading spine
Use Verkerke with its separate Principal Cases collection for a US-focused course. Learn how a case supports a proposition and which qualifications the proposition needs; do not substitute it for assigned England and Wales authority.

- [ ] My course concerns England and Wales
Use Poole for an explanatory structure, then consult the assigned judgments and legislation. Match the seventeenth edition and your course update list; purchase or library access to a text does not establish access to every digital supplement.

- [ ] I understand the outline but struggle with authority
Use Burrows to compare edited primary materials, notes and competing arguments. Pair it with an explanatory spine when an extract assumes doctrine you have not learned; its seventh edition dates from 2020.

## Compare the three books

### Contract Doctrine, Theory & Practice

J. H. Verkerke · 2 · 2024
Free US case-and-problem spine

Choose it when: Your course uses US contract doctrine and you are prepared to distinguish a holding, an argument and a hypothetical.
Use another route when: Your assessed task applies England and Wales law, or you need a substitute for checking current authority.
Selected reading: Second edition, October 2024: select the discussions of enforceable promises, agreement and remedies that match your syllabus. Obtain the separately issued Principal Cases as well; no unverified page or chapter map is supplied here.
Limits and trade-offs: CALI hosts a free main text and separate cases. The primary indexed front matter identifies the edition; direct PDF retrieval was blocked during this check, so this guide does not claim a fresh complete reading or confirm every link remains retrievable.

#### Try before choosing

Read one assigned passage and its companion case, then write the proposition, supporting facts and one limit in three separate sentences.
Check your work: Identify the US setting and the exact source for each legal proposition. A teaching question or editorial note is not itself a holding.

### Poole's Textbook on Contract Law

Robert Merkin; Séverine Saintier · 17 · 2025
England and Wales explanatory spine

Choose it when: You want an ordered explanation of formation, terms, challenges to validity, discharge and remedies for an undergraduate course.
Use another route when: You expect summaries to replace judgments, or your course needs another jurisdiction.
Selected reading: Seventeenth edition, 2025, paperback ISBN 9780198954866: choose the named agreement/formation discussion and the remedies discussion in your copy, following the syllabus rather than an unverified page range.
Limits and trade-offs: The selected record is Merkin and Saintier’s revision of Poole. The publisher endpoint required browser verification in this audit; existing exact-edition metadata was retained rather than guessed. Digital activities can depend on the product and access entitlement.

#### Try before choosing

Write a formation issue tree from your assigned reading, then label the authority needed for each branch. Leave a branch unresolved if the supplied facts do not settle it.
Check your work: The tree keeps offer status, acceptance requirements and evidence separate. Do not import the invented rules below into a real legal answer.

### A Casebook on Contract

Andrew Burrows · 7 · 2020
England and Wales primary-material companion

Choose it when: You can follow a judgment and need practice comparing case extracts, statutes and editorial questions.
Use another route when: You need a short first explanation of every doctrine, a free complete textbook, or a current-law update service.
Selected reading: Burrows, seventh edition, 2020, paperback ISBN 9781509936144: select offer/acceptance and remedies material against the contents and your assigned reading list.
Limits and trade-offs: Edited extracts make comparison manageable but omit parts of the original judgments. The publisher describes learning materials; it does not certify that the 2020 treatment incorporates subsequent changes.

#### Try before choosing

Compare two assigned extracts: state each issue and material facts, then propose one factual change that might distinguish them.
Check your work: Explain why the changed fact bears on a stated rule. A different outcome alone does not show that one court overruled the other.

## Six steps with a concrete output

- [ ] Fix the jurisdiction and edition

Selected reading: Choose one of the three spines and inspect its publication details.

Make this: Write a jurisdiction label, edition and question; list any update sources required by your course.

Check your work: The label describes the authority used. Our invented jurisdiction J below is a separate teaching model.

Your notes:

________________________________

- [ ] Extract a bounded proposition

Selected reading: One assigned formation passage and, where available, its primary material.

Make this: Write rule, authority and qualification in separate columns.

Check your work: A quotation is not an explanation. Say what facts trigger the proposition and what remains outside it.

Your notes:

________________________________

- [ ] Build the event table

Selected reading: Your selected agreement discussion; the original packet below.

Make this: List offer status and sending/receipt times for each event before deciding formation.

Check your work: A clarification and a price change have different stipulated effects; a receipt deadline does not become a dispatch deadline.

Your notes:

________________________________

- [ ] Test the competing reading

Selected reading: Revisit the same passage or paired extracts.

Make this: For each fictional path, identify the strongest reason for formation and the decisive obstacle.

Check your work: Resolve the obstacle using the supplied rule, not a remembered rule from a different legal system.

Your notes:

________________________________

- [ ] Separate remedy from formation

Selected reading: Your selected remedies discussion, then the follow-up packet.

Make this: Assume the stated breach and calculate payments, avoided costs and substitute performance separately.

Check your work: A valid contract alone does not select a remedy; do not add a refund twice or count a hypothetical expense as paid.

Your notes:

________________________________

- [ ] Write and audit the answer

Selected reading: The assigned sources, timeline and calculation.

Make this: Write conclusion, rule, application and a specific limitation; change one rule or fact and recalculate.

Check your work: Another reader can reproduce each conclusion. The answer distinguishes stipulated facts, legal assumptions and unresolved real-world evidence.

## Worked exercise: Original formation packet: three independent paths

In fictional jurisdiction J, a seller offers a hall booking for 500 tokens. Each independent path begins with the same offer at 10:00 and a deadline of 17:00. Path A: at 12:00 the buyer asks whether chairs are included; the seller says yes at 12:30; an unconditional acceptance is sent at 16:50 and received at 16:55. Path B: the buyer instead proposes 450 at 14:00, then accepts the original 500 offer at 16:00, received at 16:01; the seller never renews it. Path C: there is no intermediate communication; unconditional acceptance is sent at 16:59 and received at 17:01. Decide formation.

Assumptions: These are complete invented rules: an unconditional acceptance must be received by 17:00 while the offer remains available; a clarification question leaves the offer available; the specified price-change proposal terminates the original offer immediately; no renewal occurs unless expressly stated. Chairs were included from the beginning, so the reply changes no term. Times and receipt records are exact; no other formation requirement is in dispute. These rules are not a statement of US or England and Wales law.

## Change an assumption: Original follow-up: a refund is part of restoring a position

Assume a different valid booking contract at 500 tokens and a seller breach. The buyer prepaid 200, owed 300 later, paid 620 for an identical substitute, and received a 200 refund. Invented rule R awards a nonnegative additional payment only for net cost exceeding the cost of timely performance, and never charges the buyer for a cheaper substitute; the substitute is the sole loss, no other costs or benefits exist, and the buyer seeks no other award. Find the additional payment. Then change only the substitute price to 450.

Your notes:

## Before moving on

- I can identify the jurisdiction, edition and authority behind a proposition.
- I can solve all three paths and explain which single change would alter each answer.
- I can reconcile the follow-up award with the buyer’s net cost and identify the invented-rule limitation.

## Answer and interpretation

### What preparation comes first?

Know the difference between a statute, a judgment, a holding, an editorial summary and a party’s argument. Practise a short case brief: facts, issue, result, reason and limits.

### What must a contract timeline record?

Record the content of each communication, who sent it, when it was sent and received, and which offer was still available. A timestamp without a rule about its relevance is insufficient.

### Can a free US book replace an England and Wales text?

It can offer a comparison exercise, but governing authorities, statutory settings and doctrinal qualifications must be checked independently. Free access describes a reading permission, not cross-jurisdiction equivalence.

### Original formation packet: three independent paths

1. Path A: the question asks about an existing term and does not change the price. Under the packet it leaves the offer available; the reply confirms its existing scope. Receipt at 16:55 is before the deadline, so formation occurs then.
2. Path B: the 450 proposal triggers the stipulated termination rule at 14:00. The original 500 offer is no longer available at 16:01. The later message cannot accept a terminated offer, even though it arrives before 17:00.
3. Path C: the offer remains available, but acceptance arrives at 17:01. Sending at 16:59 does not satisfy this receipt rule, so there is no formation under the packet.
4. The independent paths prevent events in one path from altering another. There is no need to infer intent, add a postal rule, or decide whether these artificial rules match actual law.

A forms at 16:55; B does not form because the original offer was terminated; C does not form because receipt was late. The decisive facts differ even though each buyer says yes to 500.

Test the result: Change only C’s receipt to 16:59 and it forms then. Change only B’s receipt time and it still fails unless an available offer is restored. Keep the two obstacles separate.

### Change an assumption: Original follow-up: a refund is part of restoring a position

1. Timely performance would cost the buyer 500 in total. After breach and refund, net payments are 200 + 620 − 200 = 620; the unpaid original 300 is never paid.
2. Under R, 620 − 500 = 120 additional compensation restores a net cost of 500. The refund has already reversed the prepaid amount; adding it again to the award would count it twice.
3. With substitute price 450, the net cost after refund is 450. Restoring cost to 500 would require a negative award; R allows only an additional payment for excess cost, so max(0, 450 − 500) = 0. The buyer keeps the cheaper substitute, not an invented negative damages liability.

For the 620 substitute: refund 200 already received, plus an additional 120 under R. For the 450 substitute: the same refund and zero additional payment. This follows only the invented cost rule.

Test the result: Check 200 + 620 − 200 − 120 = 500. Without the refund, actual net cost would be 820, so the additional payment under R would instead be 320; this is a different fact pattern. No real-law entitlement or mitigation doctrine is asserted.

## Common mistakes

### Transplanting authority

A familiar phrase in a US casebook does not establish the governing rule for an England and Wales assignment.

### Treating chronology as doctrine

Sending and receipt dates matter only through the applicable rule; a conclusion must identify that rule.

### Counting the same loss twice

Track money already paid, refunded and never paid. Formation, breach and the measure of an award are separate questions.
